No purchase necessary to enter or win a prize. Offer void in Hawaii, Alaska, and wherever prohibited or restricted by law. A purchase will not increase your chances of winning. This promotion shall be construed and evaluated only according to United States law.

1. ELIGIBILITY: VH1 Tough Love and LeSportsac “Love’s in the Bag” Sweepstakes (the “Sweepstakes”) is open to legal residents of the 48 contiguous United States including the District of Columbia who are 18 years of age or older at time of entry. If the potential Grand Prize Winner or First Prize Winners cannot furnish verifiable and valid proof of age within two business days after being notified of winning and requesting of such proof, an alternate winner may be chosen from among all remaining Eligible Entries received, at LeSportsac, LLC’s (“Sponsor”) sole discretion. Sweepstakes is not open to employees and their immediate families (spouse, parent, child/stepchild, sibling and their respective spouses, regardless of where they reside) or household members, whether or not related, of Sponsor, NMA Entertainment & Marketing (NMA), or MTV Networks, a division of Viacom International Inc. (“MTVN”) its respective parents, affiliated companies, subsidiaries, and advertising and promotion agencies as well as any person who has won a LeSportsac, NMA, or MTVN national contest or Sweepstakes in the twelve (12)-month period preceding entry into this Sweepstakes. All entries become the property of Sponsor and will not be not be acknowledged or returned.

2. PROMOTION PERIOD: The Sweepstakes begins on or about 5:00 p.m. Eastern Time (“ET”) on 11/9/09 and ends on or about 12:00 p.m. (noon) ET on 11/23/09 (the “Sweepstakes Period.”)

3. HOW TO ENTER: There are two ways to enter the Sweepstakes, online and via ballot box in select Sponsor retail locations (the “Participating Retail Locations”). By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final in all matters relating to this Sweepstakes. A) To enter online: log on to www.lesportsac.com (the “Promotional Site”), a website owned and controlled by Sponsor, during the Sweepstakes Period and follow the directions to fill in the required information and submit your entry. B) To enter in store: beginning at the start of the store operating hours (local time of Participating Retail Locations apply) on 11/9/09, and continuing until 12:00 p.m. (noon) ET on 11/23/09, visit a Participating Retail Location and complete an official entry form (to be provided while supplies last), or hand print in ink on a piece of paper, your full name, address, city, state, zip code, daytime phone number, date of birth and e-mail address. Deposit your official entry form or completed piece of paper into a designated ballot box found at Participating Retail Locations. For a complete list of Participating Retail Locations, please see below. No copies, facsimiles, or mechanical reproductions will be accepted.

The following Sponsor stores are considered Participating Retail Locations for the purposes of this Sweepstakes: LeSportsac Soho Flagship, 118 Greene St., New York, NY 10012.

Participants must fill out the required fields on the online or ballot box Sweepstakes entry forms and submit their information to be entered into the random drawing (collectively the “Eligible Entries”). Incomplete or inaccurate entry forms are void. Limit: one (1) entry per person, regardless of email address used during the Sweepstakes Period. Additional entries received over and above the daily limit from any person or email address will be void. If an entrant uses different/multiple e-mail addresses to submit more than one entry during any one day during the Sweepstakes Period, all such entries after the first one will be void. By entering, participants agree to comply with these Official Rules including all eligibility requirements. Sponsor, NMA, MTVN, and each of their respective parents, affiliates, subsidiaries, retailers, distributors, and advertising and promotion agencies and all of their respective directors, officers, employees and agents (collectively, the “Released Parties”) are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email on behalf of entrants on account of technical problems or traffic congestion on the Internet or at any Web site, any other errors or problems of any kind whether computer, network, technical, typographical, printing, human or otherwise which may occur in connection with this Sweepstakes, including, but not limited to, in connection with the administration of the Sweepstakes, the processing of the entries in the Sweepstakes, or the announcement of the prize, in any Sweepstakes-related materials or combination thereof. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or for any reason Sponsor deems it necessary, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, notice will be posted on the Promotional Site and, at Sponsors’ discretion, the prize may be awarded based on a random drawing that Sponsor will conduct from among all non-suspect, Eligible Entries received as of the date of termination, if any. Entries that have been tampered with or altered will be declared void. In the event of a dispute over who submitted an entry, such entry will be declared made by the authorized account holder of the email address submitted at the time of entry and such individual must be eligible according to these rules. An "authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the email address as applicable.

4. Winner Selection/Prizing: There will be one (1) grand prize winner (the “Grand Prize Winner”) selected in a random drawing from among all of the Eligible Entries received. There will be five (5) first prize winners (the “First Prize Winners”) selected in a random drawing from among all of the Eligible Entries received. Sponsor will conduct the random drawings from among all of the Eligible Entries received on or around 11/27/09. The odds of winning will be determined by the total number of Eligible Entries received. The potential Grand Prize Winner and First Prize Winners will be contacted by e-mail at the e-mail address provided by the entrant or by U.S. mail or phone. The potential Grand Prize winner will be required to verify their age as described above as well as sign and return to the Sponsor an affidavit of eligibility and liability/publicity release within seven (7) days of notification (or less time is specified in said release). If any prize notification is returned as undeliverable, or in the event of non-compliance with any of these requirements, the prize will be forfeited, and an alternate potential winner will be selected at random from the remaining eligible entries.

•Grand Prize: One (1) Grand Prize Winner will receive the following:

•A LeSportsac luggage collection, including the following five (5) pieces: one (1) Large Weekender bag, one (1) Small Travel Tote, one (1) Kasey cross body bag, one (1) Deluxe Travel Mate, and one (1) Paula phone/MP3 player/camera case.

•The Grand Prize Winner also receives a trip for two (2) to New York, NY on or about 01/21/10 where the Grand Prize Winner will meet Steve and JoAnn Ward of VH1 Tough Love for a personal dating consultation. The Trip Prize package includes:

•Roundtrip coach class air transportation to New York, NY for Grand Prize Winner and one (1) guest from the U.S. gateway airport nearest Grand Prize Winner’s residence (as determined by Sponsor) to a major airport near New York (as determined by Sponsor). Sponsor reserves the right to substitute ground or water transportation for air transportation if Grand Prize Winner resides within 150 miles of New York, NY and no compensation or substitution will be provided for difference in prize value.

•Two (2) night stay at a hotel in New York of Sponsor’s choice for winner and guest (one (1) double occupancy room) (room and tax only. All other incidentals including ground transportation, are at the sole responsibility of winner)

•Winner to receive approximately a ten (10) minute personal consultation with VH1 Tough Love stars, Steve and JoAnn Ward.

*Total approximate retail value (ARV) of Grand Prize: $2,800.00

•First Prizes: Five (5) First Prize Winners will each receive:

Two (2) LeSportsac bags, including one (1) Small Travel Tote and one (1) Paula phone/MP3 player/camera case.

*Total approximate retail value of each First Prize (ARV): $110.00.

*Total ARV of all prizes in the Sweepstakes: $3,350

5. PRIZE CONDITIONS: Grand Prize winner and his/her guest must travel together on the same itinerary. In the event the potential Grand Prize Winner and/or his/her guest cannot travel on the dates specified by Sponsor in order to fulfill the “consultation with VH1 Stars” portion of the prize, the prize will be forfeited and an alternate potential Grand Prize Winner will be selected. All ARV totals are dependant on city of origin, time of Trip and currency valuation. If actual retail value is less than stated Total ARV, Winner will not receive difference of Prize value. All Prizing is subject to availability and change at Sponsor’s sole discretion. Sponsor reserves the right to without any prior notice and at any time replace, any or all prizes with a prize or prizes of equal or greater value. Additional restrictions may apply. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. Released Parties shall not be liable for any loss or damage to baggage. Trip Prize Winners and their respective guest are solely responsible for obtaining all necessary and required travel documents (e.g., valid government-issued photo ID, etc.) and insurance. All airline tickets issued in conjunction with Prize are not eligible for frequent flyer miles, and no code-share flights may be used. Prize components cannot be used in conjunction with any other promotion or offer, and no portion may be separated except at Sponsor's sole discretion. Prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose. Any and all guarantees and warrantees on merchandise Prizes are subject to the manufacturer’s terms and conditions, and winners agree to look solely to said manufacturers for any such warranty or guarantee claim. The specifics of all elements of prize shall be solely determined by Sponsor. Except as otherwise specified herein, no substitution or transfer of prize (or any part of a prize package) or cash equivalents permitted except by Sponsors who reserve the right to award prize (or portion thereof) of comparable or greater value. Arrangements for the fulfillment of prize will be made by Sponsor. Acceptance of prize constitutes All Prize Winner’s permission, where permitted, for Sponsors and their respective designees to use his or her name, city and state of residence and likeness for advertising, publicity and other purposes in any and all media, now or hereafter known, worldwide in perpetuity, without additional compensation, notification or permission. In the event that there are less eligible entries than there are prizes, not all prizes will be awarded. In no event will more than the stated number of prizes in these Official Rules be awarded. The receipt by Grand Prize Winner and First Prize Winners of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all applicable federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY PRIZE WINNERS (AT Sponsors SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNER’S DISQUALIFICATION AS THE WINNERS OF the Sweepstakes AND ALL ASSOCIATED PRIVILEGES WILL BE IMMEDIATELY TERMINATED. Any costs and expenses associated with Grand Prize Package and/or First Place Prize acceptance and use which are not expressly set forth in these Official Rules including but not limited to, meals, gratuities, luggage fees, phone calls, and any and all other travel and incidental expenses not specifically mentioned above as being included within the Grand Prize Package or First Place Prize are respectively the Grand Prize Winner, his/her one (1) eligible guest, and each First Prize Winner’s sole responsibility. The value of the Grand Prize Package and each First Place Prize may be taxable as income. The Grand Prize Winner and each First Prize Winner may be required to supply Sponsor with his/her social security number for tax purposes. If applicable, an IRS Form 1099 will be issued in the name of applicable winners for the actual value of the respective prize received by such winner. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision

6. GENERAL CONDITIONS: All interpretations of the rules and decisions by Sponsor are final and binding. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person and void all associated entries. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. By entering the Sweepstakes, each Entrant agrees to: (i) waive any rights to claim ambiguity with any and all federal, state and local rules, laws, and/or regulations; (ii) be bound by each provision and abide by the terms of these Official Rules and by the decisions of the Sponsor which are final, binding and non-appealable in all respects; and (iii) to release and hold harmless Released Parties from and against any and all liability (including but not limited to, liability for any property loss, damage, personal injury or death) arising from or in connection with participation in the Sweepstakes. As a prerequisite for receiving and using the Grand Prize Package or First Place Prize (as applicable), the potential Grand Prize Winner and each potential First Prize Winner must complete, sign and return to Sponsor, within seven (7) days after the date of Sponsor’s request and presentation thereof: (a) an affidavit of eligibility and a liability release of the Released Parties from any and all liability, claims, demands, judgments, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize Package or First Place Prize (or any portion thereof, as applicable); and (b) except where prohibited by law, a promotional release granting the Released Parties the right to use his or her name and/or likeness for advertising and/or publicity purposes in all media now known or hereafter devised, worldwide in perpetuity and without additional compensation, notification, or permission, unless prohibited by law; and (c) any other legal document that Sponsor may require (in its sole discretion). Grand Prize Winner’s one (1) eligible guest must also execute and return a liability/publicity release prior to issuance of travel documents. Entry into this Sweepstakes constitutes the potential Grand Prize Winner, his/her one (1) eligible guest and each potential First Prize Winner’s agreement to sign such affidavit, releases and legal documentation. Failure of the potential Grand Prize Winner, his/her one (1) eligible guest and/or any First Prize Winner to complete, sign and return to Sponsor such affidavit, release and legal documentation within such seven (7) days period shall result in such Grand Prize Winner or First Prize Winner’s (as applicable) disqualification from the Sweepstakes, in which event an alternate winner may be selected from among all remaining Eligible Entries, in Sponsor’s sole discretion

7. Governing Law: ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY THE APPROPRIATE STATE OR FEDERAL COURT LOCATED IN THE STATE OF NEW YORK; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES BUT IN NO EVENT ATTORNEYS’ FEES; AND (3) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

8.Privacy Policy: Any personally identifiable information collected during this Sweepstakes will be collected by Sponsor and used by Sponsor, its affiliates, agents and marketers solely for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules and as allowed by law.
